1. Agreement to Terms

By accessing or using RelayPlane ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. RelayPlane is operated by RelayPlane Inc. ("we", "us", or "our").

2. Description of Service

RelayPlane is an AI model routing proxy that intelligently routes your API calls to the most cost-effective AI model that can handle the task. The Service includes:

  • The RelayPlane Proxy (open-source, MIT-licensed software)
  • The Swarm API (cloud-based routing intelligence)
  • The Dashboard (web-based analytics and management)
  • Documentation and support resources

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials and API keys
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Free Trial and Subscription

We offer a 7-day free trial of Pro features with no credit card required. After the trial period:

  • Your account will automatically downgrade to the free tier
  • To continue using Pro features, you must subscribe to a paid plan
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Transmit malware, viruses, or other malicious code
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to circumvent usage limits or billing of underlying AI providers

6. Your Content and API Keys

You retain all rights to the prompts, responses, and data you process through the Service ("Your Content"). You grant us a limited license to route your API requests as necessary to provide the Service.

Important: Your prompts and model responses are never stored, logged, or analyzed by RelayPlane. They pass through the proxy directly to the AI providers. See our Privacy Policy for details on what we do collect.

You are responsible for securing your own API keys for AI providers (Anthropic, OpenAI, etc.). We recommend storing them as environment variables and never committing them to version control.

7. Open Source License

The RelayPlane Proxy software is open source and licensed under the MIT License. You may use, modify, and distribute the proxy software according to the terms of the MIT License. The Swarm API, Dashboard, and other cloud services are proprietary and subject to these Terms.

8. Service Availability and SLA

We strive to maintain high availability of the Service. For Pro subscribers, we target 99.9% uptime for the Swarm API. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

The open-source proxy can operate in offline mode without the Swarm API, using static routing rules. This ensures your agent continues functioning even during service disruptions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAYPLANE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your requirements or that it will be error-free.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through the Dashboard or by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
